Terms of Service

1. Agreement and affirmative acceptance
These Terms of Service (the “Terms”) are a binding agreement governing your use of Felix Trade (“Felix,” “we,” “us,” or “our”). They apply between you and the provider that makes Felix available to you and govern the Felix websites, API, MCP server, SDKs, agent runtime, wallets, documentation, and related services (collectively, the “Service”).
You accept these Terms only through an affirmative action presented by Felix, including checking an acceptance box or sending accept_terms: true in an account-creation or registration request. That action also acknowledges the Privacy Policy, Risk Disclosure, and Custody & Authority Notice identified in legal bundle version 2026-08-30. Merely browsing the public website does not authorize trading. If you act for an organization, you represent that you have authority to bind it. If you do not agree, do not create an account or use the Service.
2. Eligibility and lawful use
You must be at least 18, have legal capacity, and be legally permitted to use each requested product and venue. You may not use the Service if you are subject to applicable sanctions, are acting for a sanctioned person, or if your use would violate law, a court order, or a venue rule. Product availability varies by jurisdiction and venue. Felix does not represent that every product is lawful or available everywhere, and an automated agent does not remove the legal obligations of the person or organization operating it.
3. What Felix is
Felix provides software infrastructure for research, backtesting, account and risk controls, order routing, reconciliation, and owner-authorized trading across third-party venues. Felix is not a broker-dealer, exchange, futures commission merchant, commodity trading advisor, investment adviser, bank, money transmitter, custodian, trustee, or fiduciary, except to the extent a regulator or court determines otherwise under non-waivable law. Nothing in the Service is investment, legal, tax, or accounting advice.
4. Accounts, credentials, and devices
You are responsible for your devices, owner keys, recovery material, API keys, MCP configuration, email account, and other credentials. You must keep them confidential, use reasonable device security, and promptly revoke or pause access you suspect is compromised. Activity authenticated by your credentials or owner signature is treated as your activity unless applicable law requires otherwise. Felix will never ask you to send a plaintext owner private key or seed phrase to its API or support channel.
5. Non-custodial wallets and scoped authority
The owner private key is generated and retained on an owner-controlled client and is not sent to Felix servers. Wallets may use established Safe contracts and a Felix policy module. To run authorized activity while your client is offline, you may grant narrowly scoped, capped, expiring authority that Felix evaluates and that an attested signing environment may use for allowlisted actions. A trade-scoped API or agent key is not an unrestricted withdrawal key.
Non-custodial does not mean risk-free. Authorized trading can lose all allocated funds. A defect, compromised device, stolen API credential, signing-policy error, smart-contract issue, venue failure, or security incident may still cause unauthorized activity, delayed access, or loss. The exact authority boundary is described in the Custody & Authority Notice.
6. Autonomous agents and AI output
AI output can be false, stale, incomplete, biased, or internally inconsistent. Backtests can contain bad data, look-ahead bias, overfitting, and assumptions that do not hold live. When you deploy an agent, you authorize it to act without separate approval before each action, but only within the owner-authorized scopes and limits then in force. You are responsible for reviewing its logic, sizing, venue, limits, and operation. Risk controls reduce particular failure modes; they do not guarantee profit, prevent every loss, or replace monitoring.
7. Orders, execution, and settlement
Orders may be rejected, delayed, partially filled, filled at a different price, duplicated by a third party, or remain in an ambiguous state while Felix reconciles venue and blockchain records. Quotes and previews are estimates, not guarantees. Blockchain transactions are generally irreversible. You must reuse the original idempotency key and follow the stated recovery contract after an ambiguous outcome; issuing a new request can create additional exposure.
8. Third-party venues, protocols, and networks
The Service depends on third parties, including trading venues, blockchain networks, Safe contracts, bridges, relayers, data and RPC providers, cloud infrastructure, and AI providers. Their terms may also apply. We do not control their availability, pricing, rules, solvency, security, settlement, forks, oracle decisions, or resolution outcomes. You accept the risk that a third party may fail, change, suspend, reverse, freeze, or refuse an action.
9. Fees, subscriptions, and taxes
Felix fees are shown through the Service or documentation before the applicable action where practicable. Venue, bridge, spread, slippage, gas, funding, liquidation, and other third-party costs are separate and may change without notice from us. Unless expressly stated otherwise, paid plans last for the displayed term and require a new owner-authorized payment to renew; Felix does not obtain an unlimited recurring debit authority. Fees are non-refundable except where required by law. You are responsible for taxes and reporting.
10. Trading and technology risks
You can lose some or all funds allocated to the Service. You knowingly assume market, leverage, liquidation, options, prediction-market, stablecoin, liquidity, slippage, agent, model, data, smart-contract, bridge, blockchain, oracle, venue, regulatory, tax, operational, cybersecurity, credential, and availability risks. Read the Risk Disclosure before using live funds. No deposit or balance is FDIC or SIPC insured, and Felix does not maintain insurance for trading or digital-asset loss.
11. Acceptable use
You will not use, assist, or attempt to use the Service to:
- violate law, sanctions, court orders, or a venue’s rules;
- manipulate markets, spoof, layer, wash trade, commit fraud, or trade on unlawfully obtained information;
- launder funds, finance illegal activity, conceal beneficial ownership, or evade sanctions;
- access another account, credential, wallet, or record without authorization;
- circumvent caps, rate limits, signing policy, geographic controls, or security measures;
- overload, scrape, reverse engineer, probe, or test the Service without written authorization; or
- introduce malicious code or use the Service to harm Felix, a venue, or another person.
12. Compliance and protective action
We may screen activity, request information, refuse or delay actions, revoke API credentials, pause managed activity, or suspend access when reasonably necessary to protect users or the Service, investigate abuse, comply with law, or honor a venue requirement. Emergency controls may not close positions, revoke token allowances, reverse completed transactions, or recover a lost owner key. When lawful and technically possible, we will preserve owner access to the non-custodial withdrawal path.
13. Intellectual property, content, and feedback
We and our licensors own the Service, software, documentation, and marks. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service under these Terms. You retain rights in prompts, strategies, and other content you provide and grant us a license to process it as needed to operate, secure, and improve the Service. You represent that you have the rights needed to provide that content. Feedback may be used without restriction or compensation.
14. Service changes and availability
The Service is evolving. We may add, remove, limit, or suspend a feature, venue, network, key type, or integration. We do not promise uninterrupted availability, a particular latency, or a service level unless a separate signed agreement says so. Maintenance, incidents, legal requirements, provider outages, and risk controls may interrupt access.
15. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” FELIX AND ITS SUPPLIERS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING. WE DO NOT WARRANT THAT THE SERVICE, A SIGNING SYSTEM, SMART CONTRACT, AGENT, DATA SOURCE, ROUTE, TRANSACTION, OR VENUE WILL BE SECURE, ERROR-FREE, TIMELY, PROFITABLE, OR FREE FROM UNAUTHORIZED ACCESS.
16. Security incidents and unauthorized activity
Security controls cannot eliminate all risk. To the fullest extent permitted by law, you accept the risk of loss or disruption caused by cyberattack, compromised credentials or devices, malicious prompts or dependencies, software or signing defects, smart-contract or bridge exploits, data corruption, denial of service, and third-party breaches. Felix is not an insurer and does not guarantee reimbursement of funds lost in a security incident. This section does not waive privacy, security, consumer, or other rights that applicable law does not permit you to waive.
17. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, FELIX AND ITS AFFILIATES, MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, OPPORTUNITY, DATA, GOODWILL, OR USE; TRADING OR LIQUIDATION LOSSES; OR LOSS, THEFT, LOCKUP, MISROUTING, OR DIMINUTION OF DIGITAL ASSETS ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID DIRECTLY FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, INCLUDING LIABILITY FOR FRAUD OR WILLFUL MISCONDUCT WHERE SUCH A LIMIT IS PROHIBITED. Some jurisdictions provide additional non-waivable rights, in which case this section applies only to the lawful extent.
18. Indemnification
To the extent permitted by law, you will indemnify and defend Felix and its affiliates, members, officers, employees, contractors, and suppliers from third-party claims, losses, liabilities, and reasonable legal expenses arising from your content, agents, trades, unlawful use, breach of these Terms, or violation of another person’s rights. This obligation does not require you to indemnify a protected party for that party’s fraud, willful misconduct, or liability that applicable law does not permit to be indemnified.
19. Suspension, termination, and wind-down
You may stop using the Service at any time. We may suspend or terminate API or managed-agent access for breach, security risk, provider failure, legal obligation, or discontinuation. Termination does not transfer your owner key to Felix or erase public blockchain records. You remain responsible for closing positions, revoking allowances, exporting records, and moving owner-controlled funds, subject to network and venue availability. Audit and transaction records may be retained as described in the Privacy Policy.
20. Dispute resolution and arbitration
Please read this section carefully. Before starting a formal claim, you and Felix agree to send a written description to legal@felix.trade and attempt informal resolution for 30 days. Except for the exceptions below, unresolved disputes will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules. The Federal Arbitration Act governs this agreement to arbitrate. Hearings may occur remotely or in Wilmington, Delaware.
Claims must be brought individually, not as a class, collective, consolidated, or representative action. You and Felix waive a jury trial to the fullest extent permitted by law. Either party may bring an eligible individual action in small-claims court or seek temporary injunctive relief for unauthorized access, confidentiality, or intellectual-property misuse. If a court finds a portion of this section unenforceable, it will be severed only to the minimum extent necessary.
You may opt out of arbitration by emailing legal@felix.trade within 30 days after first accepting these Terms. Include the owner wallet address or account identifier, the acceptance date, and a clear statement that you opt out of arbitration. Do not include a private key, seed phrase, or full API key.
21. Governing law
Delaware law governs these Terms, without regard to conflict-of-laws rules, except that the Federal Arbitration Act governs Section 20. For a dispute not subject to arbitration, the state and federal courts located in Delaware have exclusive jurisdiction, unless non-waivable law requires another forum.
22. Changes to these Terms
We may update these Terms. For a material change, we will provide reasonable notice and, where required or where the change materially affects rights or authority, require a new affirmative acceptance before additional protected actions. The version and effective date identify the governing text. Changes do not retroactively authorize activity beyond an existing owner-signed mandate.
23. Electronic records and notices
You consent to electronic agreements, signatures, receipts, and notices. You may retain these Terms by printing or saving this page. Notices may be delivered through the Service, to a contact you provided, or through an authenticated API response. You are responsible for keeping contact information current.
24. General terms and contact
These Terms and the incorporated documents are the entire agreement about the Service unless a separate signed agreement applies. If a provision is unenforceable, the rest remains effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, or sale. Sections that by their nature should survive will survive termination.
