Terms of Service

1. Agreement to these terms
These Terms of Service (the “Terms”) are a binding agreement between you (“you”) and Felix (“Felix,” “we,” “us”) governing your access to and use of the Felix API, SDKs, MCP server, developer tools, documentation, and related services (together, the “Service”). By creating a key (including by sending accept_terms: true to the account endpoint), calling the API, installing the SDK or MCP server, or otherwise using the Service, you agree to these Terms. Our Privacy Policy and Risk Disclosure are incorporated into and form part of these Terms; by accepting these Terms you also agree to them. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.
2. Eligibility and location
You must be at least 18 years old and legally able to enter into these Terms. You may not use the Service if you are located in, or are a resident of, or are acting on behalf of any person in, a country or region subject to comprehensive sanctions, or if you are a person with whom we are prohibited from dealing under applicable law. You are responsible for complying with all laws that apply to you, including securities, commodities, tax, and financial-services laws in your jurisdiction. Some features may be unavailable in certain locations.
3. What Felix is (and is not)
Felix is non-custodial execution infrastructure. The Service lets you (or software agents you control) send trading instructions that are routed to third-party trading venues and on-chain protocols. Your funds remain in a wallet you control; we do not take custody of your assets.
Felix is not a broker-dealer, exchange, bank, money transmitter, custodian, fiduciary, or investment adviser. We do not hold customer funds, do not execute trades as principal, and do not provide financial, legal, tax, or investment advice. We are a technology provider.
4. No advice; your decisions
Nothing provided through the Service, including data, backtests, generated strategies, previews, or example code, is investment advice or a recommendation to buy, sell, or hold anything. You and any agent you operate are solely responsible for every trading decision and its outcome. Generated strategies and AI outputs may be wrong, incomplete, or unsuitable; you must independently evaluate them before using real money.
5. Assumption of risk
Trading stocks, crypto assets, perpetual futures, options, and prediction-market contracts involves substantial risk, including the risk of total loss. Prices are volatile, leverage magnifies losses, liquidity can disappear, and past performance does not predict future results. Blockchain transactions are irreversible and subject to network, smart-contract, and third-party risks. You accept all of these risks. Only commit funds you can afford to lose entirely.
6. Your account, keys, and activity
You are responsible for safeguarding your API keys and any credentials. Live keys can move real money; treat them like a password and never expose them. You are responsible for all activity that occurs under your keys, whether by you, your team, or your software, and whether authorized or not. Notify us promptly of any suspected compromise; you can revoke a key at any time, including via the POST /v1/panic endpoint.
7. Automated and AI agents
The Service is designed to be operated by software, including AI agents. If you build, deploy, or run an agent that uses the Service, that agent acts as you, and you are fully responsible for everything it does, including every order it places and every dollar it spends. You are responsible for configuring your own spend caps, position limits, and safeguards. We provide risk controls as tools, not guarantees, and are not responsible for losses caused by your agent’s behavior, bugs, prompts, or logic.
8. Non-custodial funds and wallets
Your assets are held in a wallet associated with your account that you control. We do not custody, control, or have the ability to unilaterally move your funds. You are responsible for your wallet and its security. If access to your wallet or keys is lost, we may be unable to help you recover funds, and such loss may be permanent. Deposits, withdrawals, and on-chain transactions are processed by public blockchains and third parties outside our control.
9. Third-party venues and services
Orders you submit are executed on third-party venues, exchanges, and protocols, each with its own terms, fees, rules, and risks. We are not responsible for the acts, omissions, outages, pricing, settlement, or solvency of any third party. Your use of a venue through the Service may also be subject to that venue’s terms.
10. Fees
We may charge fees for the Service, including per-transaction fees and subscription tiers, as described in the Service or documentation. Third-party venues, networks, and payment processors may charge their own fees. You are responsible for all fees and applicable taxes. Fees may change on reasonable notice.
11. Acceptable use
You agree not to use the Service to: break any law or regulation; engage in market manipulation, fraud, or wash trading; launder money or finance illegal activity; transact for or on behalf of sanctioned persons; infringe others’ rights; interfere with, overload, reverse engineer, or attempt to gain unauthorized access to the Service; or circumvent rate limits, security, or geographic controls. We may suspend or terminate access, with or without notice, if we reasonably believe you have violated these Terms or created risk or legal exposure.
12. Intellectual property
The Service, including its software, APIs, documentation, and brand, is owned by us and our licensors and is protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You retain rights to the code and strategies you create; you grant us a license to process your content as needed to operate the Service.
13. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING. We do not warrant that the Service will be uninterrupted, error-free, secure, accurate, or that any order will be executed at a particular price or at all.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FELIX AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, TRADING LOSSES, DATA, GOODWILL, OR FUNDS, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US FOR THE SERVICE IN THE THREE MONTHS BEFORE THE EVENT, OR (B) ONE HUNDRED U.S. DOLLARS. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
15. Indemnification
You will indemnify and hold harmless Felix and its affiliates, officers, and personnel from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your trades, your agents, your content, your violation of these Terms, or your violation of any law or third-party right.
16. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate your access at any time, including for violations of these Terms, legal or security risk, or discontinuation of the Service. Sections that by their nature should survive termination will survive, including disclaimers, limitations of liability, and indemnification.
17. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Any dispute will be resolved by binding individual arbitration, and you and Felix waive the right to a jury trial and to participate in a class action, except where prohibited by law. Nothing here prevents either party from seeking injunctive relief for intellectual-property or unauthorized-access claims.
18. Changes
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect means you accept the updated Terms.
